谢娟律师，自2006年执业，现任中国主板上市企业的独立董事，深圳市福田区人民政府法律顾问（涉外版块）、深圳市福田区人民政府重大行政决策法律专家、广东省律师协会两岸法律研究中心副主任、广东省律师协会跨境争议解决法律专业委员会委员等职务。

谢律师擅长处理企业商事争议解决、跨境投资并购及涉外法律事务，曾作为中国法专家证人在香港高等法院出庭，参加香港公司股权转让纠纷案的庭审。现任国内多个仲裁委员会仲裁员及商事调解组织调解员。

谢律师的从业经历及典型案例被编入香港文汇出版社出版的《广东涉外律师英才》一书。2019年，谢律师入选广东省律协与新加坡律师公会的涉外律师交流项目，赴新加坡律师事务所开展短期工作与交流。谢律师负责的跨境案例入选《2014-2018年广东涉外法律服务典型案例汇编》一书；其负责承办的中港跨境并购案荣获“2019-2022年粤港澳大湾区法律服务优秀案例”三等奖；承办的美国涉疆供应链案获评深圳市福田区“2023年度优秀涉外法律服务案例”；承办的中国企业被美国列入SDN制裁名单之处置应对案、中国内地及香港跨境并购案被新华网与中国政法大学评为“2024法律服务出海实践案例”；承办的《关于德国上市企业与中国内地及香港关联公司的股东纠纷之专项法律服务》被评为“2024-2025年度深圳市福田区优秀法律服务案例”。

谢律师及其团队负责了多个欧美企业来华投资项目、中国企业出海项目及跨境并购项目，同时也为中国互联网行业、电子行业、制造业及高新技术行业的企业跨境经营提供合规法律培训和专项咨询服务。

Since commencing her legal practice in 2006, Shelley Xie has held various prominent positions, including Independent Director of the main board-listed company in China, Legal Counsel (Foreign-Related Affairs) to the People’s Government of Futian District, Shenzhen, Deputy Director of the Cross-Strait Legal Research Center of the Guangdong Lawyers Association, and Member of the Committee on Cross-Border Dispute Resolution of the Guangdong Lawyers Association.

Shelley Xie specializes in corporate and commercial dispute resolution, cross-border investment, M & A, and foreign-related legal matters. She has served as an expert witness on Chinese law in the High Court of Hong Kong. She currently serves as an arbitrator for several arbitration institutions and as a mediator for various commercial mediation organizations in China.

In 2018, Shelley Xie’s professional experience and representative cases were featured in Outstanding Foreign-Related Affairs Lawyers in Guangdong, published by Wen Wei Publishing House in Hong Kong. In 2019, she was selected for the Guangdong Lawyers Association–Singapore Law Society Exchange Program, and went to Singapore law firms to carry out short-term work and exchanges. 

The cross-border case undertaken by Shelley Xie was included in the Compilation of Guangdong Typical Foreign-Related Legal Service Cases (2014–2018). Her PRC-Hong Kong cross-border M&A case was awarded Third Prize in the “Outstanding Legal Services Cases in the Guangdong-Hong Kong-Macao Greater Bay Area (2019–2022)” awards. The U.S. UFLPA case directed by Shelley was awarded the 2023 Excellent Foreign-related Legal Service Case in Shenzhen Futian District. Furthermore, The U.S. SDN Economic Sanctions case and the China-Hong Kong cross-border M&A case were both listed as “2024 Overseas Legal Service Practice Cases” by Xinhuanet and China University of Political Science and Law. The special legal service directed by Shelley Xie in relation to a shareholder dispute between a German listed company and its affiliated entities in mainland China and Hong Kong was awarded the title of “Excellent Legal Service Case of Futian District, Shenzhen (2024–2025).”

Shelley Xie and her team have led numerous inbound investment projects involving European and American enterprises, outbound projects by Chinese companies, and cross-border M&A transactions. They have also provided compliance training and specialized legal advisory services for Chinese enterprises in the internet, electronics, manufacturing, and high-tech industries engaged in cross-border operations.
